Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Schmade LLC ("Schmade," "we," "us," or "our"), a Delaware limited-liability company, governing your access to and use of Ask Sensei ("Sensei" or the "Service"), including the website at asksensei.dev, related APIs, and all associated features.
By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using Sensei, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
3. Description of Service
Sensei is an AI-powered business intelligence platform that provides website audits, competitive analysis, go-to-market strategy, market validation, and related analytical services. The Service uses artificial intelligence to generate recommendations, scores, and insights based on data you provide and publicly available information.
Important: Sensei's outputs are AI-generated suggestions and analytical tools. They do not constitute professional business, legal, financial, or investment advice. You are solely responsible for evaluating, verifying, and acting upon any recommendations. We make no guarantees regarding business outcomes.
4. Accounts and Registration
- You must provide accurate, current, and complete information during registration and keep your account information up to date.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify us immediately at security@schmade.com if you suspect unauthorized access to your account.
- One person or entity may not maintain more than one free account. We reserve the right to merge or terminate duplicate accounts.
- You may not share your account credentials with others or allow others to access your account.
5. Your Content and Intellectual Property
5.1 Your Content
You retain all ownership rights in the content, data, and materials you submit to the Service ("Your Content"). By using Sensei, you grant us a limited, non-exclusive, revocable license to process Your Content solely for the purpose of providing and improving the Service. We do not claim ownership of your business ideas, strategies, or proprietary information.
5.2 Generated Content
Reports, audits, analyses, and other outputs generated by Sensei ("Generated Content") are created based on Your Content and publicly available data. You own the Generated Content associated with your account and may use it for any lawful purpose. We retain the right to use anonymized, aggregated patterns from Generated Content to improve the Service, but will never share your specific Generated Content with third parties.
5.3 Our Intellectual Property
The Service, including its design, code, algorithms, brand, logos, and documentation, is the intellectual property of Schmade LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as intended.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or malicious purpose.
- Submit content that infringes on the intellectual property rights of any third party.
- Attempt to gain unauthorized access to our systems, other users' accounts, or data not intended for you.
- Use automated scripts, bots, scrapers, or other automated means to access the Service without our prior written consent.
- Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Resell, sublicense, or redistribute the Service or access to it without our written permission.
- Use the Service to generate content that is defamatory, obscene, or harmful.
- Circumvent any usage limits, rate limits, or access controls.
Violation of this section may result in immediate suspension or termination of your account without notice.
7. Subscription Plans and Payment
7.1 Free and Paid Plans
Sensei offers both free and paid subscription plans. Feature availability, usage limits, and pricing are described on our Pricing page and may be updated from time to time.
7.2 Billing
- Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected.
- All payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees.
- Prices are listed in U.S. dollars and are exclusive of applicable taxes, which will be added at checkout where required by law.
7.3 Cancellation and Refunds
- You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
- We do not provide prorated refunds for partial billing periods unless required by applicable law.
- If you cancel during a free trial, you will not be charged.
7.4 Price Changes
We may change subscription prices with at least 30 days' notice. Price changes will apply at the start of your next billing cycle. Founding member pricing, where applicable, is honored for the duration specified at the time of your purchase.
8. Beta Features
We may offer beta or early-access features that are clearly identified as such. Beta features are provided "as-is" and may be modified, suspended, or discontinued at any time without notice. We make no commitments regarding the availability, performance, or reliability of beta features. Your use of beta features is at your own risk.
9. Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the Service. We are not liable for any modification, suspension, or discontinuation of the Service.
10. Disclaimers
The Service is provided on an "as-is" and "as-available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
Without limiting the foregoing, we do not warrant that:
- The Service will meet your specific requirements or expectations.
- The Service will be uninterrupted, timely, secure, or error-free.
- AI-generated recommendations, scores, or analyses will be accurate, complete, or reliable.
- Any defects in the Service will be corrected.
- Using Sensei's recommendations will result in specific business outcomes, revenue, growth, or success.
11. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Schmade LLC, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the amount you paid to us in the 12 months preceding the claim, or (b) fifty U.S. dollars ($50.00).
12. Indemnification
You agree to indemnify, defend, and hold harmless Schmade LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.
13. Termination
- By you: You may terminate your account at any time by deleting it through your account settings or by contacting us at support@schmade.com.
- By us: We reserve the right to suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violation of these Terms.
- Effect of termination: Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Sections 5, 10, 11, 12, 14, and 15 survive termination.
14. Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
14.2 Informal Resolution
Before filing any formal dispute, you agree to first contact us at legal@schmade.com and attempt to resolve the dispute informally for at least 30 days.
14.3 Arbitration
If informal resolution is unsuccessful, any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English and held in Delaware or remotely, at the arbitrator's discretion. The arbitrator's decision shall be final and binding.
14.4 Class Action Waiver
You agree that any disputes will be resolved on an individual basis only. You waive the right to participate in a class action, class-wide arbitration, or any other representative proceeding.
14.5 Exceptions
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
15. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Schmade LLC regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Notices: We may send notices to you via the email address associated with your account. Notices to us should be sent to legal@schmade.com.
- Force majeure: We shall not be liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, pandemics, or internet outages.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
